Circumvention simply means going around. And that’s something you don’t want potential business partners and clients to do. For instance, if you’re negotiating a deal to act as a distributor for BigBucks Company, and in the course of hammering out an agreement you are required to reveal your distribution channels, you don’t want the CEO of BigBucks to simply decide that he’ll cut out the middleman. You. A non-circumvent agreement eliminates that possibility. It’s often used in conjunction with a non-disclosure or confidentiality agreement (NDA) and/or a non-compete agreement. Be sure to include the term of the agreement and specifics of who is bound by the agreement—you’ll probably want to include any subsidiary companies and anyone who might buy out the business. Electronic Signatures The Electronic Signatures in Global and National Commerce Act, or E-SIGN, was signed into law in 2000 and provides a consistent legal basis for the validity of electronic signatures in all states, including those such as Georgia and Illinois that had not already enacted UETA, or the Uniform Electronic Transactions Act. An electronic signature can be as simple as typing your name into the signature space and preserving the accompanying electronic paper trail. More complex (and therefore more secure) forms include iris or fingerprint scans and encrypted digital signatures that use Public Key Infrastructure (PKI) such as VeriSign. Electronic signatures are valid for a wide range of applications; they are not, however, valid for wills, court orders and other court documents.
